Terms of Service

1. Who we are, and what you are agreeing to
Canopy is operated by Canopy & Home Technologies LLC, a Florida limited liability company based in the Tampa Bay area (“Canopy”, “we”, “us”). These Terms of Service are the agreement between you and Canopy for your use of the Canopy website, mobile apps and services (together, the “Service”).
By creating an account, uploading anything, or using the Service, you agree to these terms. If you do not agree, do not use the Service.
Our Privacy Policy explains what we collect and what we do with it. It is part of these terms.
2. Who can use Canopy
You must be at least 18 years old and able to enter into a contract. The Service is intended for people in the United States. You may not use Canopy on behalf of someone else unless they have authorized you to do so and you can show that authorization if we ask.
You are responsible for your account and your login credentials. Tell us promptly at hello@canopyhome.io if you think someone else has access to your account.
3. What Canopy is
Canopy is a place to keep the record of your home and get help with it. You can store documents about your home, such as insurance policies, warranties, closing packets, appliance manuals, photos and mortgage details. Myles, our AI concierge, answers your questions using the documents and information in your home record. We can also connect you with local vendors for work on your home.
We are always changing and improving the Service. We may add, change or retire features. If we retire something you rely on, we will try to give you reasonable notice.
4. What Canopy is not
This section matters. Read it.
Canopy is not an insurance company, an insurance agent or an insurance adjuster. We do not sell, bind, modify or adjust insurance, and nothing in the Service is an offer of insurance coverage or a determination of what your policy covers.
Canopy is not a licensed contractor, home inspector, engineer or building professional. We do not perform work on your home and we do not inspect it.
Canopy is not a law firm and does not give legal advice. Canopy is not a financial advisor, mortgage broker, lender, tax advisor or real estate broker, and does not give financial, tax, mortgage or investment advice.
Myles is software. Myles reads the documents and information in your home record and produces answers, summaries, reminders and suggestions. Those answers are informational only. They are not professional advice of any kind, they can be incomplete, and they can be wrong, including when the underlying document is unclear, out of date, or was delivered to us by someone else.
Do not rely on Myles for a decision that matters without checking the underlying document yourself and, where the decision calls for it, talking to a licensed professional. Before you file a claim, sign a contract, rely on a warranty, or let a deadline pass, confirm the facts with your insurer, your warranty provider, your lender, or the right licensed professional.
5. Your content and what you let us do with it
Everything you put into Canopy, and everything a partner delivers into your home record for you, is “Your Content”. Between you and Canopy, Your Content is yours. We do not claim ownership of it.
To run the Service for you, we need permission to handle Your Content. You grant Canopy a non-exclusive, worldwide, royalty-free license to host, store, copy, back up, transmit, display to you and to people you share with, index, reformat and process Your Content, including sending it to the AI provider we use so Myles can answer your questions. That license exists for one purpose: operating, securing, supporting and improving the Service for you. It ends when Your Content is deleted, except for copies held in routine backups until those backups expire.
We do not use Your Content to advertise to you off of Canopy, and we do not sell it. Our Privacy Policy explains how AI processing works and what happens to your documents.
You promise that you have the right to upload what you upload, and that it does not infringe anyone else’s rights.
Do not upload identity documents. Canopy does not store identity documents. Do not upload a driver’s license, passport, Social Security card, birth certificate or similar identity document, and do not enter identity document numbers or dates of birth. If we find one, we may remove it without notice.
6. Vendors
Canopy can connect you with local service providers. Those vendors are independent third parties. They are not Canopy employees, agents, subcontractors or partners, and listing a vendor is not an endorsement, a guarantee of licensing or insurance, or a warranty of their work, pricing, timeliness or conduct.
Any agreement for work on your home is between you and the vendor. You should confirm licensing, insurance and references yourself before hiring anyone. Canopy is not a party to that agreement, does not supervise the work, and is not responsible for it. If something goes wrong with a vendor, tell us at hello@canopyhome.io so we can look at whether that vendor stays in the network, but your remedy for the work itself is against the vendor.
7. Documents delivered by partners
Builders, title companies, homeowners associations, property managers and real estate agents can deliver documents into your home record. That is one of the most useful things about Canopy, and it comes with a limit you should understand.
Canopy transmits and stores what a partner sends. We do not author those documents, we do not verify that they are complete, current or accurate, and we do not confirm that the partner had the right to send them. If a document in your record looks wrong, incomplete, or does not belong to you, the source of truth is the original from the party that issued it. Tell us at hello@canopyhome.io and you can remove it from your record.
If you are a partner delivering documents, you represent that you have the authority and any consent required to send them to the homeowner’s record, and that you are not sending identity documents.
8. Acceptable use
Do not use Canopy to break the law or to harm anyone. Specifically, do not:
- upload identity documents or identity document numbers;
- upload content you do not have the right to upload, or that infringes someone else’s rights;
- upload another person’s sensitive information without their permission;
- try to access another user’s account or home record, probe or bypass our security, or scrape the Service;
- reverse engineer the Service, or use it to build a competing product;
- use automated means to submit questions to Myles at a volume that burdens the Service;
- try to get Myles to produce unlawful content, or present Myles output to anyone as professional advice from a licensed professional;
- resell or provide the Service to third parties except as we expressly allow in writing.
We can suspend or close an account that violates this section.
9. Fees
Some parts of the Service are paid. The price, billing period and refund terms for a paid plan are set out in the order form, plan page or app store listing you purchase through, and those terms apply in addition to these terms. Nothing in these terms sets a price.
10. Our intellectual property
Canopy owns the Service: the software, the Myles concierge, the designs, the text, the logos and the name. These terms give you a limited, revocable, non-transferable right to use the Service while your account is active. They do not transfer any ownership to you. Do not use our name or logos without written permission.
Feedback you send us is a gift. We can use it without owing you anything.
11. Ending the relationship, and your data
You can close your account at any time from the app or by writing to hello@canopyhome.io.
We can suspend or close your account if you break these terms, if we are required to by law, or if we stop offering the Service. Unless the law or a genuine security concern requires otherwise, we will try to give you notice first.
When your account ends:
- You have 30 days from closure to export Your Content. We will help you export it if you ask within that window.
- After the export window, we delete Your Content from our active systems within 30 days.
- Copies in encrypted backups are deleted as those backups expire on our normal rotation.
- We may keep a limited set of records we are required to keep, such as transaction and tax records, and de-identified information that cannot reasonably be used to identify you.
Sections 4, 5 (the parts about your promises), 6, 7, 10, 12, 13, 14 and 16 survive the end of these terms.
12. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent the law allows, Canopy disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the Service will be uninterrupted or error free, that Myles’s answers will be accurate or complete, that documents in your record are accurate or complete, or that any vendor will perform.
Some states do not allow certain disclaimers, so parts of this section may not apply to you.
13. Limitation of liability
To the fullest extent the law allows, Canopy is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data, lost business, or the cost of substitute services, even if we were told those damages were possible.
To the fullest extent the law allows, Canopy’s total liability for all claims relating to the Service in any 12 month period is limited to the amounts you paid Canopy for the Service in the 12 months before the event giving rise to the claim.
These limits do not apply to liability that cannot be limited by law.
14. Indemnity
You agree to defend, indemnify and hold harmless Canopy and its members, officers and employees from claims, damages and reasonable legal fees arising out of Your Content, your use of the Service, your violation of these terms or the law, or your dealings with a vendor. We will tell you promptly about any claim and let you control the defense, as long as you do not settle in a way that imposes an obligation on us without our consent.
15. Changes to these terms
We can change these terms. If a change is material, we will post the updated terms with a new effective date and give you notice in the app or by email before it takes effect. If you keep using the Service after the change takes effect, you accept the new terms. If you do not accept them, close your account.
16. Disputes, governing law and venue
If you have a problem, write to hello@canopyhome.io first. Most things get solved that way, and we ask you to give us 30 days to try before filing anything.
These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you and Canopy consent to the jurisdiction of those courts.
17. Apple App Store
If you got the Canopy app from the Apple App Store, this section applies. This agreement is between you and Canopy, not Apple, and Apple is not responsible for the app or its content. Apple has no obligation to provide support or maintenance for the app. If the app fails to conform to any applicable warranty, you may tell Apple and Apple will refund the purchase price, if any; to the maximum extent the law allows, Apple has no other warranty obligation. Canopy, not Apple, is responsible for addressing any claim that the app or your use of it infringes intellectual property rights, and for any product liability or legal compliance claim relating to the app. You represent that you are not located in a country subject to a United States Government embargo or designated as a terrorist supporting country, and that you are not on any United States Government list of prohibited or restricted parties. Apple and its subsidiaries are third party beneficiaries of this agreement and may enforce it against you.
18. Other terms
If a provision is found unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them in connection with a merger, acquisition or sale of assets. These terms, the Privacy Policy, and any order form or plan terms are the entire agreement between you and Canopy about the Service.
